Terms & conditions

These terms explain how SHEP MEDIA LTD supplies branding, website and support services, how payments work, and the responsibilities of both parties.

Effective date: 13 October 2026

1. About us and these terms

These terms apply when SHEP MEDIA LTD supplies services to a client. “We”, “us” and “SHEP MEDIA” mean SHEP MEDIA LTD. “You” and “client” mean the person, business or organisation purchasing or commissioning the services.

These terms apply alongside the written scope, proposal, quote, invoice or payment-page description for the service. If there is a conflict, the written scope or quote takes priority for project-specific details, while these terms continue to apply to everything else.

Consumer rights: Nothing in these terms removes rights that cannot lawfully be excluded. Consumer cancellation and statutory service rights are addressed below.

2. When a contract is formed

An enquiry or quote request does not create a contract. A contract is formed when we accept your booking or order after you have:

  1. received or had access to the service description, price and these terms;
  2. confirmed the agreed scope or quote, or selected the relevant payment option; and
  3. paid the required advance payment, deposit or first monthly payment.

We may decline or refund an order before work starts if the requested work is outside our expertise, creates a conflict, is unlawful, cannot reasonably be delivered within the proposed timeframe, or has been purchased through the wrong payment option.

The person purchasing for an organisation confirms that they have authority to bind that organisation.

3. Services and prices

The Growth Review is offered at a fixed price. All other services are priced by written quote once we understand your needs. Before substantive work begins, we confirm deliverables, timings, responsibilities, revision limits and price in writing.

Growth Review

Available once per business for first-time clients. It includes a short questionnaire, a review of your website, Google Business Profile and how enquiries are handled (or one other agreed area), one 30-minute online conversation, three practical priority recommendations, a one-page action plan, and one follow-up clarification by email within seven days. If you book another SHEP MEDIA package within 30 days of your review, the Growth Review fee is credited against it. The review does not include design, copywriting or implementation.

Brand Starter, Website Launch and Brand + Website

The content of each package is confirmed in your written quote. Unless the quote says otherwise, these packages exclude extensive copywriting, e-commerce, advanced integrations, paid third-party services and additional pages or revision rounds beyond those stated.

Website Care

Website Care covers the hosting management, security, backups, updates and monthly edit allowance stated in your quote.

Multi-page websites, full brand identities, copywriting, campaigns, integrations, urgent work and larger retainers are quoted separately.

4. Prices, payments and Stripe

  • Payments may be collected through Stripe, invoice or another agreed method.
  • The Growth Review is paid in full before work begins. We confirm its fixed price before you book.
  • Quoted packages normally require a 50% booking payment, with the remaining balance due before final files, launch, transfer or handover, unless an instalment plan is agreed in writing.
  • Monthly services are charged in advance on a recurring basis until cancelled in accordance with section 7.
  • Quotes are normally valid for 30 days.
  • VAT is added only where applicable and will be shown before payment or on the invoice.

Domains, hosting, software, premium fonts, stock media, plugins, printing, advertising and other third-party costs are excluded unless expressly stated. You are responsible for ongoing third-party subscriptions held in your name.

Stripe processes card payments under its own terms and privacy information. A successful payment does not expand the service beyond the written scope. If a payment fails, is reversed or becomes subject to a chargeback, we may pause work and withhold delivery while the matter is resolved.

For business clients, we may claim statutory interest and recovery costs on overdue invoices where the Late Payment of Commercial Debts legislation applies. For all clients, we may suspend work after reasonable notice if an amount is overdue.

5. Delivery, client responsibilities and changes

Any delivery date is an estimate unless we expressly agree a fixed deadline in writing. Timings depend on prompt payment, access, decisions, content and feedback from you.

You agree to provide accurate information, final approved text, suitable images and brand files, necessary platform access, and timely consolidated feedback. You confirm that you have permission to use all materials you supply.

Delays caused by missing content, access or decisions may move the schedule. If a project is inactive for 30 days because we are waiting for you, we may reschedule it. After 60 days, we may close the project, invoice completed work and provide a revised quote to restart.

One revision round means one consolidated set of reasonable changes to the agreed direction. New directions, additional pages, expanded deliverables, repeated feedback rounds or changes after approval are charged separately. We will obtain approval before carrying out chargeable extra work.

6. Cancellation, cooling-off rights and refunds

Business clients

Where you purchase wholly or mainly for business purposes, there is no automatic cooling-off period. If you cancel, tell us promptly in writing. We will calculate work completed, committed time and non-cancellable third-party costs. Any booking payment will be applied against those amounts, and any remaining balance will be refunded or invoiced as appropriate.

Consumers

If you are an individual purchasing wholly or mainly outside your trade, business, craft or profession, you may have a legal right to cancel an online or distance service contract within 14 days after the contract is formed.

If you ask us to begin during that 14-day period, you expressly request early performance. If you then cancel before completion, we may charge a proportionate amount for work supplied up to cancellation. If the service is fully performed during the cancellation period after your express request and acknowledgement, your cancellation right may end. This does not affect statutory rights where a service is not supplied with reasonable care and skill.

To cancel, email darryn.shepherd@shepmedia.net with a clear statement, or use the model cancellation form at the end of this page. Refunds due by law will be made using the original payment method unless agreed otherwise.

Work already delivered

Payments are not automatically refundable merely because you change your mind after work has begun or a deliverable has been supplied. This is subject to consumer cancellation rights and statutory remedies. Where work does not match the agreed scope, contact us promptly so we can assess and, where appropriate, repeat or correct the service.

7. Monthly services and recurring payments

Website Care is billed monthly in advance and renews each month until cancelled. Where your written quote states an initial minimum term, the plan continues month to month after that term ends. Outside any minimum term, you may cancel before the next billing date through the available Stripe customer portal or by emailing us. Cancellation takes effect at the end of the paid billing period.

We do not normally provide partial-month refunds for unused allowances, except where required by law or where we have materially failed to provide the agreed service. Unused time or allowances do not carry forward. Additional work is quoted separately.

We may change a recurring price by giving reasonable advance notice. A price change will not take effect during a fixed minimum term unless the written quote permits it or you agree.

8. Intellectual property and portfolio use

You retain ownership of materials you supply. You grant us permission to use them to provide the services.

Once all amounts are paid, you receive the rights stated in the written scope. Unless that scope says otherwise, bespoke final deliverables created specifically for you may be used by you for the agreed business purpose. We retain ownership of pre-existing materials, working files, methods, know-how, reusable templates, frameworks, tools and code, and grant you a continuing licence to use any of those elements incorporated in the final deliverable.

Third-party fonts, stock media, plugins, software and open-source components remain subject to their own licences. You are responsible for ongoing licence or subscription fees identified to you.

We may identify you as a client and show non-confidential final work in our portfolio and marketing unless you object in writing before publication or confidentiality has been agreed.

9. Websites and third-party services

Websites are tested using reasonable care on current mainstream browsers and common screen sizes. We do not promise compatibility with obsolete systems or uninterrupted operation of hosting, domains, email, forms, payment services, plugins or other third-party platforms.

Unless included in writing, you are responsible for domain registration, hosting, platform subscriptions, privacy and cookie compliance, ongoing security, backups, content updates and maintenance after handover.

Search-ready structure does not guarantee rankings. We do not guarantee media coverage, revenue, funding, audience growth, enquiry volume or outcomes outside our direct control.

10. Confidentiality and data protection

Each party will take reasonable care of confidential information received from the other and use it only for the engagement, except where disclosure is authorised or required by law.

We process personal information in accordance with our Privacy Policy. Where an engagement requires us to process personal data on your behalf beyond ordinary business contact details, the parties will agree any additional data-processing terms required.

11. Quality, acceptance and complaints

We will provide services with reasonable care and skill. Review deliverables promptly and report material problems with enough detail for us to investigate. Where appropriate, our first remedy will usually be to correct or repeat the affected part of the service within a reasonable time.

Send complaints to darryn.shepherd@shepmedia.net. We aim to acknowledge a complaint within five working days and provide a substantive response within 14 working days where reasonably possible.

12. Liability

Nothing in these terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or mandatory consumer rights.

For business clients, we are not liable for indirect or consequential loss, loss of profit, revenue, contracts, anticipated savings, business opportunity, goodwill or data. Subject to the previous paragraph, our total liability arising from an engagement is limited to the fees paid or payable for that engagement during the 12 months before the event giving rise to the claim.

For consumers, we are responsible for foreseeable loss caused by our breach or failure to use reasonable care and skill, but not business losses where you purchased as a consumer.

13. Ending an engagement

Either party may end an engagement immediately if the other commits a serious breach and, where it can be corrected, does not correct it within 14 days after written notice. We may also suspend or end work for unlawful, abusive or unsafe conduct, persistent non-payment, or a request that creates a professional or legal conflict.

On termination, you must pay for work completed, committed time and approved third-party costs. Clauses intended to continue, including payment, confidentiality, intellectual property, liability and governing law, remain in effect.

Neither party is liable for delay caused by events beyond reasonable control, provided the affected party communicates promptly and takes reasonable steps to reduce the impact.

We may use suitably skilled subcontractors while remaining responsible for the agreed service. You may not transfer a contract without our written consent. If any term is invalid, the remaining terms continue. A delay in enforcing a right is not a waiver.

No person other than the client and SHEP MEDIA LTD has rights under the contract. Changes must be agreed in writing.

These terms and each engagement are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, except that a consumer living elsewhere in the UK may have the right to bring proceedings in their local courts.

15. Model cancellation form

Complete and send this only if you are a consumer who wishes to cancel within an applicable statutory cancellation period.
